Cross-border Asset Disposal (Logistics Portfolio)

A multinational logistics client is seeking legal counsel for the disposal of a portfolio of three warehouse assets located in Northern Italy and Southern France.

The transaction is time-sensitive due to the client's fiscal year-end requirements. The assets are currently held in separate SPVs.

Scope of Work

• Legal Due Diligence (Vendor side) on the SPVs holding the assets.
• Drafting and negotiation of the SPA (Share Purchase Agreement).
• Management of the signing and closing process.
• Tax structuring advice regarding the asset transfer.

Requirements

The client requests a law firm with dual capabilities in Italy and France, or a lead counsel able to coordinate local counsel effectively.
