Gelmetti and Dentons advise on Rinovha Group acquisition of AG7 and Bellatrice

Gelmetti Studio Legale Associato and Dentons acted as legal advisers in the transaction: Gelmetti assisted Rinovha Group — a holding formed by Xenon Private Equity through the Xenon PE VIII fund — in the acquisition of Bellatrice and AG7, while Dentons represented the sellers Rigel and Galli. The transaction involves the full acquisition by Rinovha Group of Bellatrice and AG7 from Rigel and Galli. The acquisition strengthens Rinovha Group's positioning in the waste-treatment sector in line with an industrial strategy focused on sustainability, process innovation and operational efficiency. The integration of AG7 and Bellatrice expands the group's industrial footprint and enhances specialist capabilities across the entire waste management chain. AG7 and Bellatrice have operated for more than 15 years at the Bollate industrial hub (Milan), providing storage, sorting and treatment services. The companies collect, transport and send to recovery or disposal the waste generated on major construction sites in Milan and serve a client portfolio that includes multinational leaders in their sectors, industrial companies, small and medium-sized enterprises and construction sites across Lombardy, as well as in Piedmont and Emilia-Romagna. The plants also receive special waste from about 30 platforms in municipalities of the Metropolitan City of Milan and currently constitute the largest Rilegno platform in Northern Italy by volumes treated, representing a key asset in the recovery of wood waste. Tikehau Capital financed the project by subscribing a unitranche bond and providing additional financial resources to support the group in further acquisitions.
