Andersen and Greenberg Traurig advise on Supernova acquisition of Galleria Borromea shopping centre

Andersen Italy advised the Supernova Group in its acquisition of the Galleria Borromea shopping centre from Europa Capital, while Greenberg Traurig assisted seller Europa Capital. The transaction concerns the purchase by Supernova, an Austrian private real estate investor focused on high-quality commercial assets, of the Galleria Borromea shopping centre in the metropolitan area of Milan. The deal follows Europa Capital’s asset management plans for the property. Galleria Borromea has a leasable area of 18,438 sqm, more than 1,500 parking spaces, around 90 retail units and attracts approximately 4 million visitors a year. The acquisition continues Supernova’s investment activity in Italy, after Andersen previously supported the group in its purchases of the Casetta Mattei shopping centre in Rome (15,348 sqm) and La Scaglia in Civitavecchia (15,800 sqm). Andersen (representing the Supernova Group) was instructed with a multidisciplinary team composed by: partner Paolo Trevisanato, who coordinated the team; partners Letizia Carrara, Giacomo Baldin and Carlo Gioffrè, who led due diligence on tax, financial and legal matters together with Filippo Giannini, Davide Moretti and Alessandro Cardona; and partner Gherardo Cadore, who oversaw the structuring and implementation of the transaction and negotiation of the agreement, supported by Irene Munaretto and Maria Teresa Mazzitelli. Greenberg Traurig (representing Europa Capital) was instructed with a multidisciplinary team composed by: partner Paolo Bolis and associate Davide Mollica for contractual matters; counsel Gloria Molteni with associate Francesco Pappalepore for urban planning and construction issues; and partner Davide Bonsi for finance aspects of the transaction.
