Advisors to Eulero Capital in the acquisition of Boart & Wire

Gatti Pavesi Bianchi Ludovici, Legance, ADVANT Nctm and Pirola Pennuto Zei & Associati acted as legal advisors in the transaction, respectively assisting Eulero Capital, the founders Carlo Ruaro and Antonio Bidese, Banco BPM and Eulero Capital on structuring and tax due diligence. Eulero Capital, through the vehicle MOHS Partecipazioni, has completed the acquisition of 100% of Boart & Wire, a company active in the design and production of diamond tools for cutting natural stone blocks, with a particular presence in the diamond wire segment serving the marble, granite and quartzite block markets. The transaction saw Eulero Capital and its shareholders, supported by Simest, join the company’s capital to back founders Carlo Ruaro and Antonio Bidese and the management team in the next growth phase. The development plan envisages international expansion, an enlargement of Boart & Wire’s product range — including the launch of complementary products to diamond wire — and targeted acquisitions in key countries. The founders Carlo Ruaro and Antonio Bidese reinvested in the operation and retain an indirect stake representing 40% of the Boart & Wire group. Banco BPM provided financing in support of the acquisition.
