Fondo Nazionale Strategico enters Consorzi Agrari d’Italia with co-investment from BF, Banca del Fucino and Quinto Giro Investimenti

The Fondo Nazionale Strategico, the compartment of the Patrimonio Rilancio held by Cassa Depositi e Prestiti, has entered Consorzi Agrari d’Italia (CAI), the national hub for the marketing of Italy's major agricultural productions and the supply of products, inputs and services to the agricultural sector. CAI is currently held by BF, the parent of the Bonifiche Ferraresi group listed on the Milan Stock Exchange, together with the principal regional agrarian consortia (Emilia, North-East, Tirreno, Siena, Centre-South and Adriatico). The Fondo’s entry was executed concurrently with a co-investment by BF, Banca del Fucino and Quinto Giro Investimenti, as part of a capital increase divided into two tranches totalling €145 million and the adoption of a new statute. Proceeds from the capital increase will be used to accelerate the development of CAI's centres of industrial excellence and its commercial network, to implement innovation, research and development, and to provide end-to-end support for farmers, thereby enhancing CAI’s model nationally and internationally. BonelliErede represented Cassa Depositi e Prestiti with a team composed by: coordinated by Gianpiero Succi and including Luigi Chiarella, Giovanni Maria Fumarola and Domenico Mazzatura for corporate matters; and Massimo Merola, Gillian David and Francesco Genoni for antitrust, golden power and state aid matters. Esiodo represented Consorzi Agrari d’Italia, BF and the agrarian consortia shareholders with a team composed by: Fabrizio di Marzio, Raffaele Grandolini, Marco Moretti and Piera Silvestri. EY Studio Legale Tributario represented Consorzi Agrari d’Italia in the vendor due diligence: the fiscal vendor due diligence team was led by Savino Tatò and Giovanni Pistillo; the legal due diligence was coordinated by Matteo Zapelli and included Giuseppe Vacchiano and Cristiano Antonini; the labour law due diligence was led by Maria Teresa Iannella and Lara Giambra.
