NautaDutilh Advises ABN AMRO on Strategic Sale of Alfam to Rabobank

"NautaDutilh advised ABN AMRO on the sale of Alfam, ABN AMRO’s personal loan subsidiary, to Rabobank. The transaction, which will merge Alfam and Freo to create a unified credit provider, is expected to close in Q3 2026 subject to regulatory approvals and works council consultation. ABN AMRO will continue to offer consumer credit via a third-party arrangement with Rabobank."

NautaDutilh advised ABN AMRO on the sale of its fully owned subsidiary Alfam to Rabobank. The transaction concerns the sale of Alfam, ABN AMRO’s personal loan business, to Rabobank. Following completion, ABN AMRO will continue to provide consumer credit and personal loans to its clients through a third‑party arrangement with Rabobank. By merging Alfam and Freo, the parties aim to create a robust, efficient and future‑proof credit provider. Customers will be able to access services via multiple channels: through an intermediary at Defam, directly online at Freo, or via ABN AMRO and Rabobank, ensuring continuity of service and responsible lending. The transaction is expected to close in Q3 2026, subject to regulatory approvals and works council consultation.
