Baker McKenzie Advises Metinvest B.V. on Strategic Acquisition of ArcelorMittal Iași in Romania

Baker McKenzie Ukraine and Romanian counsel Nestor Nestor Diculescu Kingston Petersen (NNDKP) advised Metinvest B.V. in its acquisition from ArcelorMittal Tubular Products Holding B.V. of a majority shareholding in ArcelorMittal Iași, Romania. On 17 December 2025 Metinvest B.V. announced the strategic acquisition of a majority stake in ArcelorMittal Iași. The transaction marks a significant step in Metinvest’s regional expansion and reinforces its commitment to strengthening its presence across Central and Eastern Europe. The cross-border deal required collaboration across multiple jurisdictions and legal disciplines. Baker McKenzie Ukraine acted as lead transactional counsel and worked closely with Romanian legal counsel NNDKP, providing support through all stages of the acquisition, including due diligence, transaction structuring, negotiation, execution and completion. The scope of work also covered regulatory and finance matters and coordination of multi-jurisdictional legal streams. ArcelorMittal Iași, part of ArcelorMittal Tubular Products, produces welded structural pipes for construction, engineering, infrastructure and agricultural sectors, with a maximum production capacity of 240,000 tonnes per year.
