Cleary Gottlieb advises Apollo funds on acquisition of majority stake in Prosol Group

Cleary Gottlieb represented funds managed by Apollo (the Apollo Funds) in connection with their acquisition of a majority stake in the Prosol Group from Ardian. The Apollo Funds agreed to acquire a majority interest in Prosol, a multi-specialist operator in fresh products and food retail in France. Existing shareholders and Prosol’s management team will reinvest alongside the Apollo Funds. Founded in 1992, Prosol has developed a distinctive model based on full control of the value chain, enabling the sourcing of fresh, high-quality products and the development of a loyal and rapidly growing customer base. The group operates nearly 450 stores across France under two principal banners: Grand Frais, offering fruits and vegetables, dairy products and seafood; and Fresh., a company-owned chain selling fruits and vegetables, dairy products, seafood and butchery items. Completion of the transaction is subject to customary conditions precedent, including receipt of regulatory approvals, and is expected to occur in the second quarter of 2026.
