CMS Francis Lefebvre advises Transgene on capital increases totaling €144.3 million

"CMS Francis Lefebvre advised Transgene on capital increases totalling €144.3 million, including a €105 million accelerated private placement and a €39.3 million reserved issue to TSGH (Institut Mérieux) by set‑off. Goodwin advised the banking syndicate comprising Van Lanschot Kempen N.V. and Swiss Life Banque Privée. Proceeds will accelerate Transgene's myvac® clinical and manufacturing programmes."

CMS Francis Lefebvre advised Transgene on the transaction, while Goodwin advised the banking syndicate composed of Van Lanschot Kempen N.V. and Swiss Life Banque Privée; CMS UK assisted on aspects of U.S. securities law. Transgene, a biotechnology company that designs and develops immunotherapy products against cancer with shares admitted to trading on Euronext Paris, completed capital increases totalling €144.3 million. The operation comprised two elements. First, Transgene raised €105 million through the issuance of new shares to French and European healthcare investors via a private placement executed by an accelerated bookbuild and to retail investors through a public offering in France and certain other EU countries. Second, it completed a €39.3 million reserved capital increase in favour of TSGH (Institut Mérieux) by way of set‑off against amounts advanced under a current account facility provided by TSGH to Transgene. Transgene intends to use the net proceeds primarily to accelerate its myvac® programme, including support for the ongoing Phase 2 trial in head and neck cancers, initiation of a Phase 1 study in a new indication, optimisation of manufacturing and initial work to prepare for a potential pivotal study in the head and neck indication.
