Freshfields Guides Toray to Close Sale of Hungarian JV Interests to LG Chem

Freshfields acted for Toray Industries in the transaction with LG Chem, and Oppenheim Law Firm provided support to Toray on matters of Hungarian law. Freshfields guided Toray Industries to the closing of the sale of its interests in Hungary-based LG Toray Hungary Battery Separator Kft. (LTHS) to LG Chem. LTHS was a 50/50 joint venture between Toray and LG Chem, specialising in the manufacture and sale of battery separator film for rechargeable lithium‑ion batteries in Hungary. The divestment was completed over two separate closings, covering 20% and 30% of Toray’s interests in LTHS. Freshfields had also represented Toray in connection with the initial formation of LTHS with LG Chem in June 2022. Freshfields represented Toray Industries with a team composed by: Head of Japan M&A practice Tomoko Nakajima; partner Noah Carr; senior associate Arnold Itagaki; partner Kaori Yamada and senior associate Maria Ziprani (antitrust advice); and partner Menachem Kaplan and associate Rhea Khakhria (intellectual property advice).
