A&A – Albè e Associati advised Teach Corner in its second round of capital increase open to third‑party investors; My Draco acted as advisor to the company and notary Marco Aquino handled the notarial aspects. The transaction supports Teach Corner’s next stage of growth. Teach Corner, a scaleup and innovative SME operating in the education technology sector, provides group courses and tailored programmes for test, exam and competition preparation and integrates Artificial Intelligence technologies to enhance learning and improve user performance. The financing round recorded the entry of prominent investors, including leaders in consulting, new technologies, television production and distribution, advertising, as well as angel investors. These backers have chosen to support Teach Corner’s development path and its objective of broadening access to the platform’s educational services, underlining the company’s strong scalability potential in the EdTech market. A&A – Albè e Associati represented Teach Corner with a team composed by: managing partner Gianluca Albè (corporate/M&A), senior associate Federica Bottini (corporate), and trainees Maria Cristina Prisco and Ludovica Condorelli. The firm provided cross‑functional support for all activities leading to closing, including negotiation of the investment agreement, definition of the post‑increase ownership structure and the creation of new shareholder categories, as well as assistance in drafting corporate deeds, with particular attention to shareholder relations and transfers and consequent revision of the company bylaws.
