Xenon Fidec and Greenthesis complete acquisition of Zanetti Arturo & C and Saste Servizi Ecologici

Chiomenti represented the buyers Xenon FIDEC and Greenthesis; Dentons represented the lenders Banca Popolare di Sondrio, Banco BPM and Banca Sella; CMA and BNC represented the Zanetti family; and Giovannelli e Associati represented the Saste shareholders in the transaction. The transaction: Xenon FIDEC, a private equity fund managed by Xenon AIFM that specialises in building platform investments in companies active in sectors driving decarbonisation and the circular economy, together with Greenthesis, a national waste management operator, have completed the acquisition of Zanetti Arturo & C and, through that company, of Saste Servizi Ecologici. The deal creates a leading group specialising in the collection, transport, treatment, disposal and recovery of special, hazardous and non‑hazardous waste, with particular focus on infectious‑risk healthcare waste. The operation also included a reinvestment by members of the Zanetti family, represented by founder Arturo Zanetti together with his sons Giulio and Tullio Zanetti, as well as by former shareholders and managers of Saste, including SE.VAL (the Ardenghi family) and Ri.Plastic. Chiomenti represented the buyers Xenon FIDEC and Greenthesis with a multidisciplinary team composed by: partner Italo De Santis and managing associate Chiara Delevati, supported by associates Alessandra Barazza, Carlotta Bernardini, Bianca Maria Ruffino, Benedetta Anibaldi and Vittoria Cerrai Ceroni on corporate and contractual matters; partners Marco Paruzzolo and Davide D’Affronto, counsel Maria Ilaria Griffo, senior associate Angelo De Michele and associates Luca Serino and Annie Jandoli on financing; senior associate Antongiuseppe Morgia and associate Simone Petrucci on tax; counsel Fiona Gaia Gittardi and associate Ida Cannavale on employment; and associate Lorenzo Ugolini on environmental matters. Dentons represented the lenders Banca Popolare di Sondrio, Banco BPM and Banca Sella with a team composed by partner Alessandro Fosco Fagotto, head of the Banking and Finance practice in Italy and Europe, assisted by associate Federico Palazzo and trainee Giulia Brevi. CMA (Caffi, Maroncelli e Associati) represented the Zanetti family with a team composed by partner Emanuele Cortesi and senior associate Matteo Ghilardi. BNC (Berta, Nembrini, Colombini e Associati) represented the Zanetti family with a team composed by partner Francesca Ghezzi and associate Guido Tisi. Giovannelli e Associati represented the shareholders of Saste with a team composed by partner Michele Mocarelli, senior associate Francesca di Lorenzo and associates Giorgia Palmas and Benedetta Paccoia.
