LogotetaRossetto Advises Family Offices and Fotosintesi Shareholders on €7 Million Capital Increase to Support Subsidiary U.E.

LogotetaRossetto, Studio Legale BDL and Palumbo&Partners advised the parties involved in the transaction: LogotetaRossetto assisted several primary family offices and certain shareholders of Fotosintesi; Studio Legale BDL represented Sviluppi Green; Palumbo&Partners provided tax advice to Fotosintesi. The transaction comprised the approval and execution of an extraordinary capital increase in Fotosintesi, raising a total of €7 million to support the growth and development plan of its subsidiary U.E. U.E. is active in the renewable energy sector and currently owns and operates a portfolio of 25 rooftop and ground-mounted photovoltaic plants, all operational, with an aggregate capacity of approximately 9.6 MWp. The capital increase was implemented pursuant to a broader and more structured framework agreement entered into among the shareholders of Fotosintesi. Under that agreement, Sviluppi Green — a vehicle attributable to Green Utility and the infrastructure fund InfraVia Capital Partners — and the Sustainable Securities Fund, managed by Alternative Capital Partners SGR, consolidated their shareholding positions in Fotosintesi. Separately, in 2023 U.E. issued an infrastructure green bond admitted to trading on the professional ExtraMot Pro Cube segment of Borsa Italiana, which was subscribed for a total of €3.5 million by the Sustainable Securities Fund managed by Alternative Capital Partners SGR. LogotetaRossetto represented several primary family offices and certain shareholders of Fotosintesi with a team composed by: partner Giulio Rossetto and senior associate Marco Nagar. Studio Legale BDL represented Sviluppi Green with a team composed by: partner Maurizio Pinnarò and Luca Molinari. Palumbo&Partners assisted Fotosintesi on the tax aspects of the operation.
