Kering acquires Raselli Franco Group

"Kering has signed an agreement to acquire family-owned Raselli Franco Group. Gianni & Origoni, GOP and Foglia & Partners advised Kering; Hogan Lovells acted for the seller and District Advisory served as financial advisor. The acquisition will be phased, starting with a 20% stake in Q1 2026 and a path to full ownership by 2032."

Gianni & Origoni and GOP represented the buyer Kering, with Foglia & Partners advising Kering on tax matters; Hogan Lovells acted for the seller Raselli Franco Group and District Advisory served as financial advisor to the seller. Kering has signed an agreement to acquire Raselli Franco Group, a family-run company established in 1969 and active in the production of high-end and refined jewellery for leading luxury brands. The transaction is part of Kering’s strategy to support the long-term growth of its Maisons and to strengthen control over its value chain. Raselli Franco Group is internationally recognised for its expertise and innovation in jewellery prototyping and production. Kering says the acquisition will reinforce its manufacturing capabilities, consolidate its craftsmanship excellence and support its ambitions in the jewellery segment. The acquisition will be completed in multiple phases, beginning with an initial 20% stake to be acquired in the first quarter of 2026 and envisaging a route to full ownership by 2032. Gianni & Origoni represented the buyer Kering with a team composed by: Francesco Gianni (senior partner), Donato Romano (partner), Alessandro Paccoi (managing associate) and Monica Boccuzzi (associate). GOP represented the buyer Kering with a multidisciplinary team composed by: Cristina Capitanio (partner) and Eleonora Rainaldi (managing associate) for labour matters; Matteo Padellaro (partner) and Marco Marrano (associate) for antitrust matters; and Fabio Baglivo (partner) and Marta Bartoletti (associate) for foreign direct investment (FDI) matters. Foglia & Partners represented the buyer Kering on all tax aspects of the operation with a team composed by: Giuliano Foglia (senior partner), Matteo Carfagnini, Francesco Capogrossi, Sergio Mango and Carolina Castelli. Hogan Lovells represented the seller Raselli Franco Group with a team composed by: Luca Picone (partner), Martina Di Nicola (counsel), Gianluca Ceci (associate) and Lorenzo Bertola (trainee). District Advisory represented the seller Raselli Franco Group as financial advisor with a team composed by: Sara Ciavorella (partner), Marco Ercolani (manager), Silvio Raffo (manager), Silvio Renda (associate) and Giancarlo Conzo (analyst).
