Saregama India Limited Announces Strategic Equity Investment in Bhansali Productions Private Limited

Khaitan & Co advised Saregama India Limited in relation to its strategic equity investment in Sanjay Leela Bhansali's Bhansali Productions Private Limited. The transaction comprises a subscription by Saregama India Limited of 9,960 compulsory convertible preference shares (CCPS) in Bhansali Productions Private Limited for a consideration of INR 325 crores and sets out the terms of conversion of those CCPS. In addition, the parties agreed that Saregama may further acquire additional equity securities of Bhansali Productions Private Limited in multiple tranches for a monetary consideration to be determined under the investment agreement. Khaitan & Co advised Saregama India Limited on structuring, the term sheet, legal diligence, negotiations and the finalisation of transaction documents, including the investment agreement, shareholders agreement, music rights agreements and other ancillary documentation.
