Latham & Watkins Advises Banks on PeopleCert €300 Million High Yield Bond Issuance

Latham & Watkins advised the pool of banks in connection with PeopleCert’s issuance of €300 million 5.50% senior secured notes due 2031. The transaction comprised the issuance by PeopleCert, a global leader in the education and assessment industry, of €300 million 5.50% senior secured notes due 2031. The net proceeds of the offering were used to redeem in full PeopleCert’s €300 million senior secured notes due 2026 and to pay fees and expenses related to the offering. The bank syndicate was led by Morgan Stanley (acting as sole physical bookrunner) and Deutsche Bank (acting as Joint Global Coordinators and Joint Bookrunners). BofA Securities, Citigroup, Eurobank, Goldman Sachs Bank Europe SE and Santander acted as Joint Bookrunners, while Alpha Bank, Ambrosia Capital, CrediaBank, Euroxx Securities, National Bank of Greece S.A. and Optima bank acted as co‑managers. Latham & Watkins represented the pool of banks with a team composed by: Jeff Lawlis (Milan corporate partner), Giorgio Ignazzi (counsel), Edoardo Picchi (associate) and Giulio Maccarrone (assistance on US capital markets matters).
