Latham & Watkins Advises Howard Hughes Holdings on US$2.1 Billion Acquisition of Vantage Group Holdings

"Latham & Watkins LLP represented Howard Hughes Holdings in its agreement to acquire 100% of Vantage Group Holdings for US$2.1 billion. The deal, expected to close in Q2 2026 subject to regulatory approvals, will be financed with Howard Hughes’ cash on hand and up to US$1 billion of non-interest-bearing preferred stock issued to Pershing Square Holdings."

Latham & Watkins LLP represented Howard Hughes Holdings Inc. (NYSE: HHH) in its transaction to acquire Vantage Group Holdings Ltd. Howard Hughes Holdings has entered into a definitive agreement to acquire 100% of Vantage Group Holdings, a privately held specialty insurance and reinsurance company backed by Carlyle and Hellman & Friedman. The transaction values Vantage at US$2.1 billion and is expected to close in the second quarter of 2026, subject to customary regulatory approvals. The acquisition will be financed using Howard Hughes Holdings’ cash on hand and up to US$1 billion of non-interest-bearing preferred stock to be issued by HHH to Pershing Square Holdings, Ltd. Upon closing, Vantage will anchor Howard Hughes’ transformation into a diversified holding company.
