Mattos Filho and Veirano advise on CMOC acquisition of Equinox Gold's Brazilian operations

Mattos Filho advised CMOC Limited on the negotiation and execution of the agreement to acquire the Brazilian operations of Equinox Gold, while Veirano Advogados acted as Brazilian legal counsel to Equinox Gold. Blake, Cassels & Graydon served as Canadian legal adviser to Equinox Gold and McCarthy Tétrault acted as Canadian legal adviser to CMOC Group; Equinox’s in-house legal team also participated in the transaction. The transaction provides for CMOC Limited to acquire Equinox Gold’s operations in Brazil, including the Aurizona, RDM and Bahia Complex gold mines, for a total consideration of US$1,015,000,000. The purchase price consists of a cash payment of US$900,000,000 at closing and a contingent payment of up to US$115,000,000 linked to the mines’ production. The parties expect the closing to occur in the first quarter of 2026, subject to regulatory approvals in Brazil and Canada and the satisfaction of the customary conditions precedent.
