ABC Company Acquires Global Strategy's Advisory Business

PedersoliGattai advised ABC Company, and Charles Russell Speechlys advised Global Strategy in the transaction. ABC Company, a consulting firm and listed permanent-capital vehicle, has signed a binding agreement to acquire the "Management Consulting and Corporate Finance" business of Global Strategy, the firm founded by Antonella Negri-Clementi with equity partners Stefano Nuzzo and Marco Marinoni. The transaction provides for the reinvestment of part of the proceeds by the shareholders of Global Strategy into ABC Company. The deal is intended to strengthen ABC Company's advisory area by integrating the expertise of Global Strategy's professionals in strategic, financial and industrial consultancy. The combined capabilities will support extraordinary transactions, the preparation of business plans, organic and inorganic growth initiatives, and the optimisation of the financial structure of both portfolio companies and third-party clients. Closing is expected by the first quarter of 2026, subject to the fulfilment of the conditions precedent set out in the agreement, including approval of the transaction by ABC Company's shareholders' meeting and the completion of the disclosure obligations required under EGM rules.
