CMS Portugal Advises Selena Group on Acquisition of IGM Group

CMS Portugal advised Selena Group and Cuatrecasas advised IGM Group in a transaction in which Selena signed a conditional agreement to acquire IGM; Oaklins acted as Selena’s financial advisor and Origem advised IGM Group’s management. The transaction involves a conditional share purchase agreement under which Selena Group has agreed to acquire 100% of the shares in IGM Group, subject to fulfilment of certain conditions precedent. These conditions include obtaining the consent of the Portuguese antitrust authority and a positive outcome of due diligence focused in particular on financial and legal matters. The acquisition is to be completed in stages and is expected to significantly expand Selena’s product portfolio and strengthen its position in the Iberian markets. The deal forms part of Selena Group’s business‑scaling strategy based on mergers and acquisitions, particularly in the thermal insulation segment, and reflects a leading development trend in both the domestic and global construction industry.
