Baker McKenzie Advises HSBC on AUD 110 Million Financing for Parnell Pharmaceutical's Acquisition of Noble Pharma

"Baker McKenzie advised The Hong Kong and Shanghai Banking Corporation Limited (HSBC) as mandated lead arranger and bookrunner on an AUD 110,000,000 financing provided to Parnell Pharmaceuticals Holdings Pty Ltd, an affiliate of DW Healthcare Partners, to acquire Noble Pharma LLC. The facilities refinanced existing indebtedness and funded the acquisition."

Baker McKenzie advised The Hong Kong and Shanghai Banking Corporation Limited as mandated lead arranger and bookrunner in relation to an AUD 110,000,000 financing provided to Parnell Pharmaceuticals Holdings Pty Ltd, an affiliate of DW Healthcare Partners, in connection with the acquisition of Noble Pharma LLC. The financing facilities, which both refinanced certain existing indebtedness of Parnell and provided funds to complete the acquisition, comprised redrawable and conventional term debt together with a redrawable term multi-option working capital and capex facility. The arrangement was provided to support Parnell's acquisition of Noble Pharma and to optimise the group's capital structure following the transaction. Noble Pharma, founded in 2018 and headquartered in Menomonie, Wisconsin, is a contract development and manufacturing organisation specialising in the development and manufacture of veterinary pharmaceuticals. Parnell is a commercial-stage pharmaceutical company focused on developing, manufacturing and marketing animal pharmaceutical products worldwide, with an emphasis on the US market. DW Healthcare Partners is a healthcare-focused private equity firm managing over USD 1.43 billion in aggregate capital commitments and investing in leading healthcare companies.
