Gide Advises APRIL Group on Acquisition of Insurtech Promis

Gide and Fidal Lyon advised the APRIL Group in connection with its acquisition of the Insurtech Promis; Promis was assisted by external corporate and tax counsel Henri Stiegler and Alexis Madec and by Transactions & Cie, which intervened on the financial aspects with Frédéric Bos and Hugo Haget. The transaction concerns the acquisition by APRIL, a leading wholesale insurance broker in France with a network of some 30,000 partner brokers worldwide, of Promis, a 100% digital broker specialising in advice on social protection, insurance, savings and retirement dedicated to liberal professions. The operation is aligned with APRIL’s ambition to combine the best of human relationships and technology for clients and partners — individuals, professionals and corporates — across health and personal risk, borrower insurance, international health, niche property and casualty, and wealth management. APRIL, which employs some 3,000 people, aims to become a digital, omnichannel and agile player, a champion of customer experience and a market leader. Gide represented the APRIL Group with a team composed by: Caroline Lan (associate), Oumnia Benkirane (collaborator) and Sarah Chevreau (counsel of the APRIL Group on corporate aspects related to the investment of Promis’s partners). Fidal Lyon represented the APRIL Group with a multidisciplinary acquisition team. Promis was represented on corporate and tax matters by its external counsel with a team composed by: Henri Stiegler and Alexis Madec.
