Ellex Advises Munich Re on Competition Clearance for Acquisition of Gjensidige’s Baltic Insurance Business

"Ellex advised Munich Re on obtaining Lithuanian Competition Council approval (decision of 12 December 2025) to acquire Gjensidige’s insurance operations in the Baltic states. The transaction will be carried out via Ergi International and was described as one of Lithuania’s largest and most complex merger control cases after an assessment lasting nearly eight months."

Ellex advised Munich Re in connection with regulatory clearance to proceed with the acquisition of Gjensidige’s insurance operations in the Baltic states. The transaction concerns Munich Re’s planned purchase of Gjensidige’s insurance business in Estonia, Latvia and Lithuania. The Lithuanian Competition Council issued its decision on 12 December 2025, granting the approval necessary for the deal to proceed. According to Ellex, the transaction will be carried out indirectly through Ergi International, a member of the Munich Re Group. The Competition Council described the deal as one of the largest and most complex merger control cases reviewed in Lithuania in 2025, noting that its assessment lasted close to eight months. Ellex represented Munich Re with a team composed by: Managing Partners Martin Maesalu and Liga Merwin; Partners Marius Juonys, Sarunas Keserauskas and Ramunas Petravicius.
