Clifford Chance advises OMERS Infrastructure on €770 million financing for Borealis Spain Parent B.V.

The cross-border financing supports Exolum’s pipeline, storage and aviation fuel infrastructure and was delivered by Clifford Chance teams in London, Madrid and Amsterdam with hedging advice."

Clifford Chance advised OMERS Infrastructure on the successful close of €770 million debt facilities for Borealis Spain Parent B.V., the holding company for OMERS’ approximately 25% stake in Exolum. The transaction comprised the arrangement and successful closing of €770 million in debt facilities at Borealis Spain Parent B.V. Borealis Spain Parent B.V. is the holding vehicle for OMERS’ c.25% interest in Exolum, a Spanish‑headquartered global energy logistics infrastructure company. Exolum owns and operates a 4,000 km transmission pipeline network in Spain and a 2,000 km pipeline network in the UK, 68 storage terminals with combined capacity in excess of 11 million cubic metres, and supplies over 48 airports worldwide including Heathrow, Gatwick, Stansted, Madrid, Barcelona, Lisbon, Lima and Charles de Gaulle. The financing underscores market confidence in Exolum’s growth and diversification strategy and OMERS’ long‑term commitment to the sector. The deal attracted a broad range of bank and private placement lenders and required coordinated cross‑border work across Clifford Chance’s London, Madrid and Amsterdam teams to deliver a timely and efficient outcome.
