Friedrich Graf von Westphalen advises PICOM on capital measures in restructuring of HSV Handball Bundesliga team

"Friedrich Graf von Westphalen advised PICOM Holding GmbH on its acquisition of a 24.9% stake in HSM Handball Sport Management und Marketing GmbH, operator of Handball Sport Verein Hamburg. The transaction combined creditor waivers of €4m and a €6m equity injection by PICOM's owner Philipp J. Müller, reducing debt by ~€10m and securing Bundesliga licensing requirements."

Friedrich Graf von Westphalen advised PICOM Holding GmbH on corporate and tax matters in connection with PICOM's acquisition of a minority stake in HSM Handball Sport Management und Marketing GmbH, the operating company of Handball Sport Verein Hamburg. The transaction comprises a coordinated restructuring and capital measures to stabilize the operating company after years of tense finances. Following a members’ decision permitting the sale of up to 49.99 percent of the shares, six creditors waived a total of €4 million in claims in the context of the share sale. In addition, Hamburg entrepreneur Philipp J. Müller contributed €6 million through equity measures and in return acquired 24.9 percent of the GmbH shares. These steps reduced the GmbH's total debt by approximately €10 million. The shareholding was deliberately kept below a blocking minority to preserve scope for future developments and shareholder arrangements, while HSV Hamburg e. V. remains the majority shareholder of the Bundesliga team. The restructuring and capital contributions were intended to ensure that HSM meets the equity and liquidity requirements of the Handball Bundesliga (HBL) and thereby secure its place in the league. HSM's managing director acknowledged the significance of the investor's support in achieving the necessary financial breakthrough.
