Marval O'Farrell Mairal acted as sole legal advisor in the transaction, advising the parties involved: Asociación Mutual de la Economía Solidaria (as Settlor and Information Agent), TMF Trust Company (Argentina) S.A. (as Trustee), and Banco Mariva S.A. (as Arranger and Underwriter). The transaction comprised the issuance of fiduciary securities corresponding to the AMES XXVII Financial Trust, issued under the Ames program, for a total amount of ARS 3,437,223,636. The issuance, made on December 10, 2025, comprised Trust Debt Class A Securities for ARS 1,900,000,000, Trust Debt Class B Securities for ARS 200,000,000 and Certificates of Participation for ARS 1,337,223,636. The offering was authorized for public offering by the Argentine Securities and Exchange Commission (CNV) on December 4, 2025. The securities are traded on A3 Mercados S.A. and listed on Bolsas y Mercados Argentinos S.A. Moody’s Local AR Agente de Calificación de Riesgo S.A. assigned ratings of AA+.ar(sf) to the Trust Debt Class A Securities, BBB+.ar(sf) to the Trust Debt Class B Securities and CC.ar(sf) to the Certificates of Participation.
