Apollo Funds to Acquire Majority Stake in Prosol Group

Cleary Gottlieb advised funds managed by Apollo (the Apollo Funds) in their acquisition of a majority stake in Prosol Group from Ardian. The transaction will see the Apollo Funds acquire a majority interest in Prosol, the French multi-specialist in fresh food businesses and food retail. Prosol’s existing shareholders and its management team will reinvest alongside the Apollo Funds. Founded in 1992, Prosol has built a vertically integrated supply chain focused on sourcing fresh, quality products and has developed a highly loyal and fast-growing customer base. The company operates nearly 450 stores across France under two main banners: Grand Frais, offering fruits, vegetables, dairy and fish; and Fresh., a fully owned chain selling fruits, vegetables, dairy, fish and meat. The transaction is subject to satisfaction of certain closing conditions, including regulatory approvals, and is expected to close in Q2 2026.
