Veil Jourde advised Flakon and its founder Clément Gavault, Jeanne Rochmann represented the founders of Cuvée Privée, and Caphorn advised investor Mouvement et Finance in connection with the transaction. The transaction involves Flakon’s acquisition of Cuvée Privée and the simultaneous formation of a new combined group, Terroir Society. Founded in 2022, Flakon has become one of France’s leading providers of wine and spirits tasting experiences, offering an innovative oenological proposition including curated winemaker selections, tasting boxes and immersive digital experiences. Cuvée Privée, a concept store dedicated to wine and an early innovator of vine adoption experiences, brings complementary capabilities to Flakon. The combination marks the alliance of two highly complementary businesses united by a common objective: modernising the wine industry. Terroir Society, which already brings together more than 100,000 customers and benefits from an engaged community, is positioned to become an emerging European leader in wine and spirits gifting by offering experiences that showcase producers’ know‑how while meeting evolving consumer expectations.
