Scotto Partners Advises Reconstituted Management in Spherea Acquisition of Averna

Scotto Partners advised the reconstituted management of Groupe Spherea and the combined management of Spherea and Averna in connection with Spherea’s acquisition of Averna. The transaction sees Spherea, a global specialist in high-end electronic and automatic test solutions primarily for the aerospace and defence sectors, acquire Averna, a Canadian company specialising in automated test systems, vision inspection technologies and RF/microwave solutions. The strategic operation brings together two complementary organisations into a single entity employing more than 1,800 people across 13 countries and generating combined annual revenues in excess of USD 305 million. Both companies’ management teams participated in the operation. Spherea embarks on a new phase alongside its principal sponsors — Andera Partners and Idico — and now Walter Capital, previously a shareholder in Averna. Andera Partners remains the majority investor through its midcap V fund and a newly established continuation vehicle, which welcomes Ardian as the principal limited partner. Scotto Partners represented the management of Spherea and the combined management of Spherea and Averna with a team composed by: Isabelle Cheradame (partner), Jérôme Commerçon (partner), Manon Halna du Fretay (corporate), Ugo Storch (corporate), Thibaut Sitoleux (tax) and Alban Tourneux (counsel, employment law).
