Esiodo and Herbert Smith Freehills Kramer Advise on BF International's Acquisition of F.lli Martini & C.

"Esiodo advised BF International Best Fields Best Food Limited and Herbert Smith Freehills Kramer represented the sellers and the Martini group in BF International’s binding agreement to acquire the entire share capital of F.lli Martini & C. The acquisition will be carried out via a new vehicle partly capitalized by selling shareholders (retaining ~15%) and financed by primary institutions, with current management remaining in senior roles."

Law firm Esiodo advised BF International Best Fields Best Food Limited, while Herbert Smith Freehills Kramer advised the sellers and the Martini group in the transaction. BF International, a subsidiary of BF, the holding company listed on Euronext Milan and active in the agro-industrial sector, has signed a binding agreement to acquire the entire share capital of F.lli Martini & C. The sellers are Trust Girasole, Filippo Martini, Annalisa Martini and Carla Martini. The agreement provides that the acquisition will be effected through a newly incorporated vehicle. That vehicle will be capitalized by BF International and, in part, by certain of the selling shareholders, who will retain approximately 15% of its share capital. The transaction will be financed by primary financial institutions. It is envisaged that the current management of the Martini group will continue to hold senior positions, ensuring management continuity with the past.
