Simmons & Simmons advises VEI Green on sale of 15 operational photovoltaic plants in Puglia and Basilicata

Simmons & Simmons advised VEI Green, a renewable energy investment company controlled by PFH Holding, in the disposal of an operating photovoltaic portfolio. Green Horse Financial Advisory acted as sell-side financial advisor to VEI Green and assisted in structuring and managing the entire sales process. The transaction consisted of the transfer of the entire share capital of ENS Solar Five, the company owning a portfolio of 15 operational photovoltaic plants located in Puglia and Basilicata with an aggregate capacity of 14.5 MWp. The disposal followed the reactivation of incentives for the majority of the plants after litigation that preceded the sale. Simmons & Simmons represented VEI Green with a team composed by: Tommaso Tomaiuolo (partner, head of ENRIC in Italy, lead on M&A matters) and Andrea Pototschnig (supervising associate, M&A). The dispute and administrative aspects connected to the operation were handled by Mauro Pisapia (partner, head of Dispute Resolution in Italy), Luigi Pontrelli (counsel) and Martina Baraldo (supervising associate). Green Horse Financial Advisory represented VEI Green with a team composed by: Domenico Vinci (co‑founder & CEO) and Amleto Monsellato (vice president), who led the sell-side financial advisory role, overseeing structuring and management of the sale process from investor selection through negotiation to closing.
