Bestinver Infrastructure and Tages Capital increase holdings in IPlanet

"Bestinver, via a new vehicle alongside Bestinver Infrastructure Fund II, and Tages Capital, via Tages Helios Net Zero, acquired Macquarie Capital's stake in EV Asset Holdings, the indirect holder of 50% of IPlanet, an EV charging JV with Italiana Petroli. Herbert Smith Freehills Kramer advised Bestinver; Gianni & Origoni advised Tages Capital and collaborated with Tages' head of Legal Affairs; Chiomenti advised Macquarie Capital; and Caruso Andreatini Notai Associati handled the notarial aspects of the transaction. The transaction concerns an increase in the indirect holdings in IPlanet, the Italian operator formed as a joint venture with Italiana Petroli to develop electric vehicle charging infrastructure in Italy. Bestinver, through a new investment vehicle alongside Bestinver Infrastructure Fund II, and Tages Capital, via the fund Tages Helios Net Zero, acquired the shareholding previously held by Macquarie Capital in EV Asset Holdings (EVAH), the holding company that indirectly owns 50% of IPlanet. Bestinver and Tages were already minority shareholders in EVAH following an acquisition in 2024 of a portion of the stake originally held by Macquarie Capital. After completion of the present transaction, which received European Commission antitrust clearance at the end of November, Bestinver holds approximately two thirds of EVAH's capital and Tages holds the remaining one third.
