CMS advised Youngtimers AG (SIX: YTME), a Swiss‑listed holding company with subsidiaries active in asset management focused on private market investments across the Asia‑Pacific region. The transaction comprised a successful ordinary capital increase in the aggregate amount of CHF 49,733,568.36 executed in three tranches: a contribution in kind of shares of Hong Kong‑listed DL Holdings Group Limited; a contribution by way of set‑off of the group's liabilities under a bond; and an in‑cash contribution. CMS provided comprehensive legal advice on the corporate, capital markets and regulatory aspects of the transaction, drafted the listing prospectus and acted as listing agent. The firm also supported Youngtimers AG in the negotiations and in the agreements with DL Holdings Group Limited and with the creditors who set off their claims in the capital increase.
