La Regina and Campbell’s expand strategic partnership: legal advisers and transaction terms

Campbell’s will acquire 49% of La Regina and La Regina Atlantica for $286 million, with up to $140 million payable in unregistered Campbell’s shares. Houlihan Lokey and KPMG provided financial and tax advice."

Gianni & Origoni advised Campbell’s in Italy, supported on US aspects by Weil, Gotshal & Manges LLP and Ernst & Young, while Limatola Avvocati advised La Regina di San Marzano, La Regina Atlantica LLC and the related shareholders; financial and tax advice was provided by Houlihan Lokey and KPMG. The transaction provides for Campbell’s entry into the capital of La Regina through the acquisition of 49% of the shares of La Regina and of La Regina Atlantica LLC for a total consideration of USD 286 million. Up to USD 140 million of the purchase price may, at Campbell’s discretion, be paid by issuing unregistered shares of the US company. La Regina, a long-established Italian producer of premium ready sauces, reports annual revenues in excess of EUR 400 million. Campbell’s recorded revenues of USD 10.3 billion in its most recent fiscal year. The parties have set a joint industrial objective to accelerate the development of the Rao’s brand, which they estimate could exceed USD 1 billion in turnover through organic growth, innovation and expansion into new product categories.
