UST to acquire majority stake in Italdesign Giugiaro from Lamborghini

"Baker McKenzie advised UST and Linklaters advised Automobili Lamborghini/Audi on an agreement under which UST will acquire a majority stake in Italdesign Giugiaro. Lamborghini (part of the Audi Group) will retain a share and remain a long‑term strategic partner. Completion is subject to regulatory approvals."

Transaction UST, a global technology transformation company based in California, has signed an agreement to acquire a majority stake in Italdesign Giugiaro, the historic automotive design and engineering firm. Automobili Lamborghini, part of the Audi Group and the current shareholder of Italdesign, will retain an equity interest. Audi will continue as a long‑term strategic partner to Italdesign Giugiaro, ensuring continuity and collaboration in the areas that have defined the company’s reputation for more than five decades. The transaction establishes a partnership that brings together UST’s strengths in automotive engineering, artificial intelligence, software‑defined vehicle development and digital ecosystem design with Italdesign’s expertise in vehicle and industrial product design and engineering, prototyping, small‑series manufacturing and automotive electronics. Together the companies aim to offer a comprehensive, integrated portfolio of services — from initial concept and design through hardware and software development to production systems — to support the development of modern, digitally advanced vehicles. UST and Italdesign also intend to extend this integrated approach globally, with UST enabling Italdesign to expand its international presence through UST’s network in more than 30 countries. Completion of the transaction is subject to regulatory approvals.
