PedersoliGattai and Linklaters Assist in Investire SGR's Acquisition of Natissa SGR

"PedersoliGattai advised Investire SGR (Banca Finnat group) in acquiring 100% of Natissa SGR from Bain Capital, which was assisted by Linklaters. The acquisition strengthens Investire's position in Italian real estate and the living sector by adding five primarily residential funds with about 700 units under development. Tax and labour aspects were handled by EY Studio Legale Tributario, Studio Arquilla and Toffoletto De Luca Tamajo; notarial work by Claudio Caruso."

PedersoliGattai represented Investire SGR (Banca Finnat group) and Linklaters represented Bain Capital in the transaction. EY Studio Legale Tributario and Studio Arquilla carried out tax due diligence, Toffoletto De Luca Tamajo e Soci assisted the seller on labour matters, and notary Claudio Caruso handled the notarial aspects. The transaction: Investire SGR, part of the Banca Finnat group, acquired 100% of the share capital of Natissa SGR, a fund management company, from Bain Capital. The acquisition is intended to strengthen Investire SGR's presence in the Italian real estate market and represents a significant step in its growth and consolidation strategy. Through this transaction, Investire SGR increases assets under management and reinforces its leadership in the living sector by assuming management of five additional funds, primarily focused on residential assets, totaling approximately 700 housing units under development and significant planned capex. PedersoliGattai represented Investire SGR (Banca Finnat group) with a team composed by: senior counsel Jacopo Ceccherini, senior associate Alice Paini and associate Angela Russo, coordinated by partner Bruno Gattai. Partner Giovanni Giuliani and senior associate Jacopo Pisani handled investment structuring, regulatory matters and the related Bank of Italy authorisation procedures. Legal due diligence activities were followed by senior associate Clara Balboni. Linklaters represented Bain Capital with a multidisciplinary team led by partner Dario Longo and composed by managing associate Matteo Tabellini (corporate and M&A) and Samuele Manfredo Pio (regulatory), together with associate Cecilia Pelosi and junior associates Luca Borsotti and Diletta Francesca Pasquinelli. Tax advice was provided by partner Roberto Egori and counsel Fabio Balza. Studio Arquilla carried out tax due diligence with a team composed by Norberto Arquilla, Raffaella Bonino and Corrado Maugeri. EY Studio Legale Tributario conducted tax due diligence on the investment funds managed by Natissa SGR with a team coordinated by partner Alessandro Padula and managers Giovanni Mei and Valentina Zicarelli. Toffoletto De Luca Tamajo e Soci assisted the seller on employment and labour law aspects of the transaction. Notary Claudio Caruso, founding partner of Caruso Andreatini & Notai Associati, followed the notarial aspects of the operation.
