"Baker McKenzie advised Deutsche Bank on a EUR 170 million sustainability-linked loan to Mota-Engil West Africa, supported by a EUR 120 million non-sovereign Partial Credit Guarantee from the African Development Bank Group. The financing links pricing to sustainability performance targets and will fund projects across more than a dozen African countries in transport, environmental services, water and sanitation, and energy-efficient civil works."

Baker McKenzie represented Deutsche Bank in connection with a landmark sustainability-linked financing for Mota-Engil West Africa. The transaction comprises a EUR 170 million sustainability-linked loan supported by a EUR 120 million non-sovereign Partial Credit Guarantee issued by the African Development Bank Group (AfDB). The AfDB guarantee, signed at its headquarters in Abidjan, provides critical credit enhancement intended to strengthen Mota-Engil West Africa’s financial profile and to extend the maturity of its debt. By linking financing terms to sustainability performance targets, the structure embeds ESG principles within the financing and aligns incentives for sustainable infrastructure delivery. The sustainability-linked loan will support a pipeline of projects across more than a dozen African countries, including transport infrastructure, environmental services, water and sanitation systems, and energy-efficient civil works. Baker McKenzie represented Deutsche Bank with a team composed by: Luka Lightfoot (Banking Partner), James Clarke (Senior Associate), Katy Gargiulo (trainee), Sarah Smith (Partner) and Shaneil Shah (Senior Associate). Sarah Smith and Shaneil Shah advised specifically on the conformity of the AfDB’s partial credit guarantee with EU CRR "eligible guarantee" rules.
