Magnusson advises SFS Group Sweden AB on acquisition of Construcplan AB

Magnusson represented client(s) SFS Group (SIX Swiss Exchange‑listed) and SFS Group Sweden AB in connection with the acquisition of Construcplan AB. The transaction concerns SFS Group’s purchase of Construcplan, a Swedish software developer of digital tools for construction planning, including solutions for roof measurement and estimation aligned with local industry standards. The acquisition expands SFS Group’s market access and digital offering in the Northern European construction industry. This engagement follows Magnusson Denmark’s earlier role advising SFS Group on its entry into Denmark in 2021, when the firm acted as local advisers for the purchase of Jevith A/S. SFS Group is a leading global provider of mechanical fastening systems and precision components, operating 150 manufacturing and distribution locations across 35 countries; in the fiscal year 2024 the Group recorded sales of over CHF 3 billion and employed more than 13,500 full‑time equivalents. Magnusson undertook comprehensive legal due diligence and prepared the corresponding report, and assisted SFS with drafting and negotiating all transaction documents. As an essential element of completing the acquisition, Magnusson successfully managed the foreign direct investment (FDI) application to the Swedish Inspektionen för Strategiska Produkter (ISP). The firm congratulates all parties on closing ahead of the 2025 winter holidays and on the reinforcement of SFS’s presence in the Nordics.
