A&O Shearman Advises Santander on Upsized SPAC IPO of SilverBox Corp V

"A&O Shearman advised Santander, the sole book-running manager, on the upsized SPAC IPO of SilverBox Corp V. The company sold 27.6 million units at $10 each, raising $276 million (including 3.6 million units pursuant to the underwriter’s option). Units began trading on the NYSE as SBXE.U on December 3, 2025."

A&O Shearman LLP advised Santander, the sole book-running manager, in connection with the upsized initial public offering of SilverBox Corp V, a special-purpose acquisition company. The offering comprised 27.6 million units at an offering price of USD 10.00 per unit, resulting in gross proceeds of USD 276 million before underwriting discounts, commissions and offering expenses. The offering included 3.6 million units issued pursuant to the underwriter’s option to purchase additional units. Each unit consists of one Class A ordinary share and one-third of one redeemable warrant. The units began trading on the New York Stock Exchange under the ticker symbol SBXE.U on December 3, 2025. SilverBox Corp V is a blank check company formed to effect a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses. While it may consider targets across various industries, the company intends to focus on sectors where its management team’s expertise will provide a competitive advantage in completing a successful initial business combination. The company is led by Chairman and Chief Executive Officer Stephen M. Kadenacy and Chief Financial Officer Daniel Esters.
