Scotto Partners Advises Recombined Management on Spherea's Acquisition of Averna Group

Scotto Partners advised the recomposed management of Groupe Spherea in connection with Spherea’s acquisition of the Averna Group and also advised the combined management team formed from Spherea and Averna. The transaction brings together Spherea, founded in 1965 and recognised globally for high-end electronic and automatic test solutions primarily serving the aerospace and defence sectors, and Averna, a Canadian company specialising in automated test systems, vision inspection technologies and RF/microwave solutions. The strategic acquisition marks a major step in Spherea’s global expansion and innovation strategy. The combined organisation will bring together more than 1,800 employees across 13 countries and will generate combined annual revenues of over USD 305 million. The management teams of both companies are participating in the operation. Spherea embarks on a new cycle alongside its principal sponsors Andera Partners and Idico, with Walter Capital—formerly a shareholder of Averna—now joining the investor group. Andera Partners remains the majority shareholder through its midcap V fund and a newly constituted continuation fund, which welcomes Ardian as a principal limited partner. Scotto Partners represented the management of Spherea and the combined management team (Spherea and Averna) with a team composed by: Isabelle Cheradame and Jérôme Commerçon (partners, corporate), Manon Halna du Fretay (corporate), Ugo Storch (corporate), Thibaut Sitoleux (tax) and Alban Tourneux (counsel, social law).
