Kirkland & Ellis Advises Kellanova on European Commission Approval and Close of $36 Billion Sale to Mars

Kirkland & Ellis served as antitrust counsel to Kellanova in connection with its $36 billion sale to Mars. The transaction received unconditional approval from the European Commission following an in-depth Phase 2 review that had been ongoing since the summer. This clearance follows Kirkland & Ellis’s prior representation of Kellanova through the United States Federal Trade Commission Second Request process, where the transaction was also cleared without condition. Mars announced the close of the transaction on December 11, 2025; the deal was originally announced on August 14, 2024. Kirkland & Ellis also provided broader transactional advice to Kellanova in connection with the sale. Kirkland & Ellis represented Kellanova with a team composed by: Andrea Murino, Psalm Cheung and Albert Kim in the United States; and Thomas Wilson, Sion Davies and Andris Rimsa in Europe.
