Weil Advises WTW on $1.3 Billion Acquisition of Newfront

"Weil advised WTW on its definitive agreement to acquire Newfront, a San Francisco–based top-40 U.S. broker, for total consideration of $1.3 billion. The purchase includes $1.05 billion upfront (about $900M cash and $150M equity to employee-shareholders) and up to $250M in contingent equity tied to performance."

Weil represented WTW in its definitive agreement to acquire Newfront. WTW, a leading global advisory, broking and solutions company, has agreed to acquire Newfront, a San Francisco-based, top-40 U.S. broker that combines deep specialty expertise with advanced technology. The agreement provides for total consideration of $1.3 billion. The upfront portion of $1.05 billion comprises approximately $900 million in cash and $150 million in equity to be paid to Newfront employee-shareholders. The contingent consideration of up to $250 million is payable primarily in equity and is subject to Newfront’s achievement of specified performance targets.
