Berger Montague Investigates Warner Bros. Discovery Board for Alleged Breach of Fiduciary Duty

Discovery, headquartered in New York City, is a multinational media and entertainment conglomerate operating film and television studios, streaming services and cable/linear networks. The investigation addresses whether the Board breached its fiduciary duties and engaged in other violations of state law while overseeing the Company’s sales process. In particular, Berger Montague is examining whether the Board adequately and fairly evaluated proposals to acquire the Company or particular businesses within it and whether the Board’s actions failed to maximize shareholder value.
