Evergreen Legal Advises MasOrange on €5.4bn Financing for PremiumFiber Backed by Vodafone Spain and GIC

The deal comprises €4.7bn of investment-grade senior debt and €700m of holdco financing, supported by nearly 20 international financial institutions, to expand a fibre network to more than 10 million homes."

Evergreen Legal advised MasOrange on the financing of PremiumFiber, the newly formed network company backed by Vodafone Spain and Singapore’s sovereign wealth fund (GIC). The transaction is structured as a financing package consisting of €4.7 billion of investment-grade rated senior debt and an additional €700 million of holdco financing, provided and supported by nearly 20 international financial institutions. The financing will allow PremiumFiber to accelerate its industrial strategy, drive new infrastructure investments and strengthen its position among Spanish telecommunications networks. PremiumFiber aims to become one of the largest fibre-optic networks in Spain, targeting connectivity for more than 10 million homes with scope for further expansion in the coming years. Evergreen Legal advised MasOrange on all Spanish-law aspects relating to the financing and the structure of the new company; the process also involved coordination with advisers in other jurisdictions, including the United Kingdom and Luxembourg.
