PedersoliGattai and Pietro Belloni Assist in Simago Group Acquisition of Centro Radiologico Polispecialistico di Ternate

PedersoliGattai represented Simago Group with a team composed by: Partner Gerardo Gabrielli (team lead) and senior associate Beatrice Gattoni. Greenberg Traurig represented the majority shareholder Giovanni Tenconi Studio Radiologico with a team composed by: lawyer Pietro Belloni. Simago, a French group active in the operation of diagnostic imaging centres and controlled by the Ardian fund, completed the acquisition of Centro Radiologico Polispecialistico di Ternate through its subsidiary Sima Ita. The target, based in Comabbio (Varese), operates in diagnostic imaging and provides related services to public administrations. The transaction involved the purchase of the business from the founding shareholders, including Giovanni Tenconi Studio Radiologico (controlled by the Bianchi family) and Radiology – Imaging Service Equipments (held by Gian Battista Bellardi, the Marino family and other partners). The majority shareholder Giovanni Tenconi Studio Radiologico sold 90% of the company’s share capital. PedersoliGattai represented Simago Group with a multidisciplinary team composed by: Partner Gerardo Gabrielli (team lead); senior associate Beatrice Gattoni; senior associate Matteo Bortolotti and associate Martina Moroni, who handled due diligence matters; senior counsel Fabiana Campopiano and associate Valentina di Marco, who managed golden power issues; senior associate Federica Ferretti and associate Marco Biagiotti, who addressed labour law matters; and senior associate Donatella Di Gregorio, who covered administrative law aspects. Greenberg Traurig represented the majority shareholder Giovanni Tenconi Studio Radiologico with a team composed by: lawyer Pietro Belloni, who advised the seller in the disposal of 90% of the share capital of Centro Radiologico Polispecialistico di Ternate.
