Wabtec completes acquisition of Frauscher for EUR 675 million

"Wabtec has completed its acquisition of Frauscher Sensor Technology Group GmbH for an enterprise value of EUR 675 million, closing on 1 December 2025. CMS advised Frauscher's management, Baker McKenzie represented seller Delachaux, and Jones Day Frankfurt advised Wabtec. Frauscher supplies train detection, axle counting and route monitoring systems and employs over 700 people in 15 countries."

The publicly traded Wabtec Corporation (USA) has completed its acquisition of Frauscher Sensor Technology Group GmbH. The closing took place on 1 December 2025 and the agreed purchase price is EUR 675 million (enterprise value). Prior to the sale, Delachaux (France) held a 92% stake in Frauscher and the management team, led by CEO Michael Thiel, held the remaining 8%. CMS provided Frauscher’s management with comprehensive advice on corporate and tax law in structuring and executing the transaction; partner Sibylle Novak described the deal as a significant milestone in Frauscher’s development. Frauscher, founded in 1987, is one of the world’s leading suppliers of train detection, axle counting and route monitoring systems. The company employs over 700 people across 15 countries. CMS represented Frauscher’s management with a team composed by: partner Sibylle Novak (corporate and tax law) and solicitor Thomas Aspalter. Baker McKenzie represented Delachaux with a team composed by: partner Gerhard Hermann. Jones Day Frankfurt represented Wabtec with a team composed by: partner Johannes Willheim.
