SZA Schilling, Zutt & Anschütz Advises Hoffmann SE on Parallel Acquisition of Three Partner Companies

"SZA Schilling, Zutt & Anschütz advised Hoffmann SE (part of the listed Swiss SFS Group) on the parallel acquisition of Gödde GmbH, Oltrogge Werkzeuge GmbH and Hch. Perschmann GmbH. The targets employ around 450 people and are expected to generate about €270 million in third‑party sales in 2025. Completion is subject to merger control approvals, expected by end of March 2026."

SZA Schilling, Zutt & Anschütz advised Hoffmann SE, a company of the listed Swiss SFS Group, on the parallel acquisition of the three partner companies Gödde GmbH, Oltrogge Werkzeuge GmbH and Hch. Perschmann GmbH. The transaction comprises three simultaneous but independent acquisitions through which Hoffmann intends to expand its direct market access across Europe and realise potential synergies. The integration of Gödde, Oltrogge and Perschmann into Hoffmann SE is planned to be carried out gradually over the coming years. Completion of the transactions is subject to merger control approvals and is expected by the end of March 2026. Hoffmann Group, founded in 1919 and headquartered in Munich, is an international company specialising in the trade and manufacture of tools, work equipment and personal protective equipment, together with related consulting and services. The group currently has more than 60 branches and partners worldwide, 440 locations in Europe, reported sales of over €1.4 billion in 2024 and employs over 4,000 people globally. The three partner companies — Gödde GmbH (Cologne), Oltrogge Werkzeuge GmbH (Bielefeld) and Hch. Perschmann GmbH (Braunschweig) — each operate in the trading of tools, operating equipment, personal protective equipment and related services. Their established locations and management teams are to be retained. Collectively the partners are expected to generate around €270 million in third‑party sales in 2025 and to employ approximately 450 people. The partner network also includes Perschmann sp. z o.o. in Poland and Gödde SRL in Belgium.
