TMF Italy acquires Studio Ripamonti with DLA Piper and Russo De Rosa & Associati as advisors

"TMF Italy S.r.l., part of the TMF Group, has finalised the acquisition of Milan-based Studio Ripamonti. DLA Piper advised TMF; Russo De Rosa & Associati advised the sellers. Studio Ripamonti provides accounting, corporate filings, administrative and HR support to SMEs and corporate clients. The acquisition strengthens TMF's position in Italy."

DLA Piper advised TMF Group (TMF Italy S.r.l.) in the transaction, while Russo De Rosa & Associati advised the sellers. TMF Italy S.r.l., a company of the TMF Group active in business administration, governance and regulatory compliance services, has finalised the acquisition of the entire share capital of Studio Ripamonti. The Milan-based firm, active for years in the sector, provides accounting, corporate compliance and administrative management, HR support and related services to SMEs and corporate groups, operating with a consolidated client portfolio and multi-year contracts with corporate counterparties. The acquisition reinforces the TMF Group's positioning in the Italian market and expands its administrative service offering, integrating relevant local expertise within the international group's presence across more than 80 jurisdictions. DLA Piper represented TMF Group (TMF Italy S.r.l.) with a team composed by: partner Fabio del Bene (team lead) and lawyer Ornella Vastola (coordinator), supported by Pietro Rio, who handled the corporate and legal aspects of the operation, including legal due diligence, negotiation of the binding agreements and coordination of closing activities. For the legal due diligence, the DLA Piper team included partner Federico Strada with lawyer Tommaso Erboli and Martina Possamai for employment law aspects, and lawyer Ivano Sproviero together with lawyer Giulia Gambarini and Giuliana Maria Borzì for finance aspects. Russo De Rosa & Associati represented the sellers with a multidisciplinary team composed by: founding partner Andrea Bolletta and partner Gianmarco Di Stasio, who led the mandate from negotiation of the binding agreements through coordination of closing; lawyer Alessandro Perna for legal aspects; Dr Manuel Loreti and Dr Alessandro Andreola for valuation and financial matters; and Dr Mattia Cardinali, associate, together with Dr Giulia Giora for tax matters.
