Osborne Clarke and Cabinet Bompoint et Moncey Avocats advise Barrière holding on repurchase of Cannes casino stake while Marval O’Farrell Mairal advises MercadoLibre on Mercado Crédito XLIII securitisation

"Osborne Clarke and Cabinet Bompoint et Moncey Avocats advised the Barrière family holding Société de Participations Deauvillaise (SPD) on the repurchase of a 25% stake in Société Fermière du Casino Municipal de Cannes from Casinvest. Marval O’Farrell Mairal advised MercadoLibre S.R.L. on the ARS 109,999,978,621 Mercado Crédito XLIII securitisation, with Banco Patagonia as trustee/arranger and Allaria as sub-underwriter."

Osborne Clarke and Cabinet Bompoint et Moncey Avocats advised the Barrière family holding Société de Participations Deauvillaise (SPD) on the repurchase of 25% of Société Fermière du Casino Municipal de Cannes (SFCMC) from Casinvest, and Marval O’Farrell Mairal acted as legal adviser to MercadoLibre S.R.L. on the issuance of the 43rd series of financial trusts under the Mercado Crédito programme. The repurchase involved SPD acquiring the 25% interest in SFCMC previously held by Casinvest. The Mercado Crédito XLIII transaction comprised a securitisation totalling ARS 109,999,978,621, finalised on 1 December 2025. The issuance included trust debt securities for ARS 87,999,982,897 and certificates of participation for ARS 21,999,995,724. The securitised assets consisted of 100% digital consumer and working capital loans granted to users by means of electronically executed private instruments. MercadoLibre S.R.L. acted as trustor, administrator and collection agent. Banco Patagonia S.A. served as trustee, arranger and underwriter, and Allaria S.A. acted as sub-underwriter. The securities were authorised for public offering by the Argentine Securities and Exchange Commission and were listed on Bolsas y Mercados Argentinos S.A. and A3 Mercados S.A. Osborne Clarke and Cabinet Bompoint et Moncey Avocats represented the Barrière family holding Société de Participations Deauvillaise (SPD) in the repurchase of the 25% interest in Société Fermière du Casino Municipal de Cannes (SFCMC) held by Casinvest. Marval O’Farrell Mairal represented MercadoLibre S.R.L. in the Mercado Crédito XLIII issuance with a team composed by: Partners Juan Diehl Moreno and Sergio Tálamo; Associates Lautaro Penza and Pedro María Azumendi. MercadoLibre S.R.L. (in-house legal department) acted for the company in the transaction with in-house counsel Paulina Rossi.
