Osborne Clarke, Cabinet Bompoint and Moncey Avocats advise Barrière family holding SPD on purchase of 25% stake in Société Fermière du Casino Municipal de Cannes from Casinvest

"Osborne Clarke, Cabinet Bompoint and Moncey Avocats advised the Barrière family holding Société de Participations Deauvillaise (SPD) on the purchase of 25.94% of SFCMC from Casinvest at €1,897 per share. Casinvest was advised by DWF and ATOZ. After the operation SPD will hold 93.17% of capital and intends to seek delisting in 2026; completion is planned by 19 December 2025."

Osborne Clarke, Cabinet Bompoint and Moncey Avocats advised the Barrière family holding Société de Participations Deauvillaise (SPD) in connection with its acquisition of a circa 25% stake in Société Fermière du Casino Municipal de Cannes (SFCMC). DWF and ATOZ advised seller Casinvest. The transaction agreement provides for SPD to acquire 25.94% of SFCMC's capital and 26.82% of its voting rights from Casinvest at a price of €1,897 per share. SPD, already the majority shareholder, will hold 146,894 shares representing 93.17% of the capital and 96.25% of the voting rights in SFCMC on completion. The operation is scheduled to be completed no later than 19 December 2025. SPD has stated the acquisition is intended to simplify its structure and to enable it to request the company's withdrawal from the stock exchange in 2026. SFCMC operates the casino Barrière Croisette, three luxury hotels (Le Majestic and Le Gray d'Albion in Cannes, and the Carl Gustaf in St Barth) and related restaurant activities.
